Clear Basics Limited is a company incorporated in Uganda with its office at Plot 6 Jane Road, Kampala, Uganda. We provide software development, IT consulting, recruitment and placement, cloud and infrastructure, cybersecurity, and managed IT support services (the "Services").

Information on the Website about our Services is a general description and an invitation to treat, not a binding offer. Specific engagements — including scope, deliverables, timelines, fees, and payment terms — are governed by a separate written agreement, proposal, or statement of work signed between Clearbasics and the client. In the event of any conflict between these Terms and a signed agreement, the signed agreement prevails for that engagement.
Quotations are valid for the period stated on them (or 30 days if none is stated). Unless otherwise agreed in writing: invoices are payable within the period stated on the invoice; fees are exclusive of applicable taxes, which will be added where required; and late payment may attract interest at a reasonable commercial rate and/or suspension of Services after notice.
Where you engage our Services, you agree to provide timely access to information, personnel, systems, and approvals reasonably required for delivery, and to ensure that any materials you provide to us do not infringe third-party rights. Delays or failures in these obligations may affect timelines and costs.
For recruitment and placement Services: candidate information is provided in confidence and may be used only for assessing the relevant role; fees become payable as set out in the applicable engagement terms, including where a candidate introduced by Clearbasics is engaged in any capacity within the period specified in those terms; and we do not guarantee that any candidate will accept an offer or remain in a role, though replacement or rebate terms may be agreed in the engagement contract.
All content on the Website — including text, graphics, logos, designs, and software — is owned by or licensed to Clear Basics Limited and is protected by copyright and other intellectual property laws of Uganda and international treaties. You may view, download, and print content for personal, non-commercial use only. Intellectual property rights in work products created under a client engagement are allocated in the applicable written agreement; unless that agreement states otherwise, pre-existing tools, frameworks, and know-how of Clearbasics remain our property.
Each party will keep confidential any non-public information received from the other in connection with an enquiry or engagement, and will use it only for the purpose for which it was disclosed, except where disclosure is required by law or the information is already public through no fault of the receiving party.
The Services may involve third-party software, cloud platforms, or licences. Your use of third-party products is governed by the applicable third-party terms, and Clearbasics is not responsible for the performance of third-party providers. Links on the Website to external sites are provided for convenience and do not constitute endorsement.
We provide the Website on an "as is" and "as available" basis. While we take care to keep Website content accurate and up to date, we make no warranty that the Website will be uninterrupted, error-free, or free of harmful components, or that its content is complete or current. Nothing on the Website constitutes professional advice for a specific situation; you should obtain advice tailored to your circumstances before acting. Warranties applicable to contracted Services are set out in the relevant written agreement.
To the maximum extent permitted by the laws of Uganda: Clearbasics shall not be liable for any indirect, incidental, special, or consequential loss (including loss of profits, revenue, data, or business opportunity) arising from use of the Website; and our total aggregate liability arising out of or in connection with the Website shall not exceed one hundred United States dollars (USD 100) or its Uganda Shilling equivalent. Liability under a contracted engagement is governed and capped as set out in the applicable written agreement. Nothing in these Terms excludes liability for fraud, or any other liability that cannot lawfully be excluded.
You agree to indemnify and hold harmless Clear Basics Limited, its directors, employees, and agents from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or your unlawful use of the Website.
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.
We may suspend or withdraw the Website, or restrict access to it, at any time without notice. We may also refuse or discontinue service to anyone who breaches these Terms. Termination of contracted engagements is governed by the applicable written agreement.
Clearbasics is not liable for any failure or delay caused by events beyond our reasonable control, including power or telecommunications failures, internet outages, acts of government, epidemics, civil unrest, or natural disasters.
We may revise these Terms at any time by updating this page. The revised Terms take effect when posted, and your continued use of the Website constitutes acceptance. Please check this page periodically for changes.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force. A failure by Clearbasics to enforce any provision is not a waiver of that provision or of any other right.
These Terms are governed by and construed in accordance with the laws of the Republic of Uganda. The parties will first attempt to resolve any dispute amicably through good-faith negotiation; failing resolution within thirty (30) days, disputes shall be subject to the exclusive jurisdiction of the courts of Uganda.
